1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the website at getmuni.co, the MUNI mobile application, web application, AI-powered chatbot, and all related services (collectively, the “Service”) operated by August Digital Inc., doing business as MUNI (“MUNI,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to all visitors, residents, and users of the public-facing Service. Subscribing municipalities and their authorized personnel are additionally governed by the terms of their SaaS Agreement with MUNI, which takes precedence over these Terms in the event of a conflict.

2. Service Description

MUNI is a municipal technology platform that helps cities, towns, and municipalities serve their residents more effectively. The Service includes:

  • An AI-powered chatbot that answers resident questions about municipal services and operations
  • A mobile application and web application for residents to submit service requests, view events, receive notifications, and access municipal information
  • An administrator dashboard for municipal staff to manage service requests, communications, and data sources

The specific features available to you depend on whether you are a resident user or an authorized municipal administrator, and on the municipality’s subscription level.

3. User Accounts

3.1 Account Creation

Certain features of the Service require you to create an account. You agree to provide accurate and complete information during registration and to keep your account information current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify MUNI immediately of any unauthorized access to or use of your account.

3.3 Account Access

Only one individual may access the Service at a time using a single set of account credentials, unless otherwise agreed in writing.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service
  • Interfere with or disrupt the operation, security, or integrity of the Service
  • Use automated means (including bots, scrapers, or crawlers) to access the Service, except as permitted by our robots.txt file
  • Transmit viruses, malware, or any harmful code
  • Transmit content that is threatening, abusive, harassing, defamatory, obscene, or discriminatory
  • Reproduce, distribute, modify, or create derivative works from the Service or its content without prior written consent
  • Resell, sublicense, or transfer access to the Service
  • “Frame” or “mirror” the Service on any other server or platform
  • Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users’ access

5. AI-Powered Features

5.1 Nature of AI Responses

The Service includes AI-powered features, including a chatbot that provides automated responses to resident queries. You acknowledge and agree that:

  • AI-generated responses are provided for informational purposes only and are based on data sources provided by the subscribing municipality
  • AI responses do not constitute official municipal decisions, legal advice, professional guidance, or binding commitments
  • AI responses may occasionally contain errors, inaccuracies, or incomplete information
  • You should verify critical information directly with your municipality before relying on it for important decisions

5.2 Acceptable Use of AI Features

When using AI-powered features, you agree not to:

  • Attempt to manipulate, deceive, or exploit the AI system
  • Use the AI features to generate content that is harmful, illegal, misleading, or infringing on third-party rights
  • Submit queries designed to extract proprietary information about the AI system’s underlying models, training data, or architecture
  • Use the AI features for any purpose other than accessing municipal information and services

5.3 AI Accuracy Disclaimer

While we work to ensure the accuracy and relevance of AI-generated responses, MUNI does not warrant that AI outputs will be error-free, complete, or current. The accuracy of responses depends in part on the data sources maintained by the subscribing municipality. MUNI is not liable for decisions or actions taken based on AI-generated content.

6. Data Ownership and Portability

6.1 Customer Data Ownership

Subscribing municipalities retain full ownership of all data they input into the Service (“Customer Data”), including data sources used to train or inform the AI chatbot, service request records, resident communications, and administrative content.

6.2 Data Portability

Upon written request during or after the term of a SaaS Agreement, MUNI will provide the subscribing municipality with an export of their Customer Data in a commonly used, machine-readable electronic format (such as CSV or JSON).

6.3 Resident Data

Residents who submit information through the Service may exercise their data rights as described in our Privacy Policy, including the right to access, correct, or request deletion of their personal information.

7. Intellectual Property

7.1 MUNI’s Intellectual Property

All intellectual property rights in the Service — including the software, chatbot technology, design, documentation, trademarks, and content created by MUNI — are owned by August Digital Inc. and are protected by Canadian, United States, and international intellectual property laws.

7.2 Limited License

Subject to these Terms, MUNI grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include the right to modify, copy, distribute, sell, or create derivative works from the Service.

7.3 User Content

If you submit content through the Service (such as service requests or chatbot queries), you grant MUNI a non-exclusive, royalty-free license to use that content solely for the purpose of operating, maintaining, and improving the Service.

7.4 Sharing Our Content

If you share MUNI’s public content (such as blog posts or resources), please credit MUNI by name and link to the original source.

8. Service Availability and Support

8.1 Availability

We strive to maintain the Service’s availability and performance. However, the Service may be temporarily unavailable due to:

  • Scheduled maintenance (for which we will use reasonable efforts to provide advance notice)
  • Unscheduled emergency maintenance
  • Circumstances beyond our reasonable control

We do not warrant that the Service will be uninterrupted or error-free.

8.2 Support and Service Levels

Service level commitments, including response times and support availability, are defined in the SaaS Agreement between MUNI and each subscribing municipality. These Terms do not create independent SLA obligations.

9. Payment Terms

Subscription and payment terms for municipalities are governed by the applicable SaaS Agreement. If you are a resident using the Service to make a payment to your municipality (such as for permits, fines, or fees), the following applies:

  • Payments are processed securely through our payment processor, Stripe or by the municipality's chosen processor
  • MUNI does not store full credit card numbers on its servers
  • You are responsible for ensuring the accuracy of your payment information
  • Refund policies are determined by the subscribing municipality, not by MUNI

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

11. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party services. MUNI is not responsible for the content, privacy practices, or availability of third-party sites or services. Your use of third-party services is at your own risk and subject to their terms.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY SET FORTH IN A SAAS AGREEMENT, MUNI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MUNI DOES NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUNI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

WHERE LIABILITY CANNOT BE EXCLUDED, MUNI’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (USD $100) OR (B) THE AMOUNTS YOU HAVE PAID TO MUNI, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless MUNI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Any content you submit through the Service

15. Accessibility

MUNI is committed to making the Service accessible to all users, including those with disabilities. We design and develop the Service in accordance with:

  • Web Content Accessibility Guidelines (WCAG) 2.1 Level AA
  • Accessible Canada Act (ACA)
  • Accessibility for Ontarians with Disabilities Act (AODA)
  • Americans with Disabilities Act (ADA) — for our U.S. municipal clients and their residents

16. Governing Law and Jurisdiction

16.1 For Canadian Users and Municipalities

These Terms are governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.

16.2 For U.S. Users and Municipalities

For users and subscribing municipalities located in the United States, these Terms are governed by the laws of the state in which the subscribing municipality is located, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in that state.

16.3 General

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on this page with a revised “Last Updated” date
  • Notify subscribing municipalities through reasonable means

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

18. Termination

We reserve the right to suspend or terminate your access to the Service at any time if, in our judgment, your use violates these Terms, applicable laws, or the rights of others. Upon termination, your right to use the Service ceases immediately.

Termination of municipal subscriptions is governed by the applicable SaaS Agreement.

19. Force Majeure

MUNI shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, epidemics, power failures, internet disruptions, cyberattacks, or communication failures.

20. Entire Agreement

These Terms, together with the Privacy Policy and any applicable SaaS Agreement, constitute the entire agreement between you and MUNI regarding your use of the Service. These Terms supersede any prior agreements or understandings regarding the Service.

No waiver of any provision of these Terms shall constitute a waiver of any other provision or of the same provision on a future occasion.
